Submission Agreement.

By submitting your music, artwork, and promotional assets to Resurge Audio (“RA”), you agree to the following:

1. Originality and Intellectual Property Warranties.

By submitting materials to Resurge Audio (“RA”), you represent and warrant that you are the sole creator, copyright holder, or authorized representative of the submitted audio, artwork, and metadata. You guarantee that all submissions are original and free from third-party copyright infringement.

Submissions must not contain generative AI components, including synthetic vocals, AI-generated compositions, or machine-created instrumental tracks. Standard production, mixing, and mastering tools utilizing machine-learning processing are permitted, provided the underlying work is human-authored.

2. Non-Exclusive Promotional License Grant.

You grant Resurge Audio a non-exclusive, worldwide, royalty-free license to stream, host, embed, display, and distribute your submitted tracks, artwork, artist name, and promotional assets. This license covers all digital properties operated by Resurge Audio, including but not limited to resurgeaudio.com, official YouTube channels (@resurgeaudio), curated DSP streaming playlists, newsletters, and social media platforms. This license is granted strictly for promotional purposes and involves no financial compensation, royalties, or licensing fees.

3. Retention of Ownership.

You retain full title, ownership, and copyright in and to all original master audio recordings, underlying compositions, and visual materials submitted directly, and nothing contained in this agreement shall be construed as a transfer, sale, or assignment of your pre-existing intellectual property to Resurge Audio. Resurge Audio shall retain exclusive ownership, copyright, and distribution rights in and to all promotional materials, video visualizers, custom graphic assets, thumbnail layouts, and editorial media created by or on behalf of Resurge Audio in connection with featuring your submission, which may not be reproduced, redistributed, or commercialized without prior written consent.

4. Asset Modification.

Resurge Audio reserves the right to resize, crop, or format visual artwork and press assets to meet presentation and design standards across Resurge Audio’s digital platforms. Resurge Audio will not edit, alter, or remix the master audio recording without explicit written permission.

5. Editorial Discretion and Content Removal.

Resurge Audio maintains full editorial control and is under no obligation to review, publish, feature, or maintain any submission. Content may be unlisted or removed at our sole discretion without prior notice. Upon written request from the rights holder, Resurge Audio will make commercially reasonable efforts to remove featured content from its primary platforms in a timely manner.

6. Relationship of Parties and Indemnification.

Nothing in this agreement or in the submission of materials shall be construed to create a joint venture, partnership, agency, or employment relationship between you and Resurge Audio. You agree to defend, indemnify, and hold harmless Resurge Audio, its owners, representatives, and affiliates from and against any and all claims, liabilities, losses, damages, or legal expenses (including reasonable attorneys’ fees) arising out of or resulting from a breach of your warranties, alleged copyright infringement, or third-party intellectual property disputes regarding your submission.
